Terms of service

Who these terms are between

These terms are between your company and C-Level Solutions, a California general partnership, which sells Run Hoshin. In these terms, "we" means the seller. "You" means the company that uses the service, along with the people it gives logins to. See who is behind Run Hoshin.

The service

Run Hoshin is a hosted app that runs a company's Hoshin plan through the meetings it already holds. It includes eight-step A3s, one-on-ones, objectives, a KPI board with CSV import, reports with CSV, org-chart import, whole-company export, and vendor access that you can see. See what it does not do yet.

The app doesn't run in production yet. We have no uptime target and no service-level agreement. See the security page.

Your trial

A trial needs no card. The pricing page gives its length and its login limit.

When your trial ends, your company goes read-only and can still export. Nothing is deleted.

Prices

The pricing page gives the current prices and login limits. We keep them in that one place, so these terms don't repeat them.

Prices don't include tax. If we must collect tax from you, checkout shows it before you pay.

If a price changes, we email your company's admins at least 30 days before your next renewal. The new price starts at that renewal.

We haven't settled whether you can pay by invoice or purchase order.

Cancellation and refunds

  • A monthly or yearly plan renews until you cancel it.
  • A company admin cancels in the billing portal. The plan runs to the end of the period you paid for.
  • We don't refund part of a period you paid for, unless the law requires it.
  • When a paid plan ends, your company goes read-only, the same as at the end of a trial. It can still export, and nothing is deleted.

Your data is yours

You own what you put in the app. The app has no AI feature, so it sends your company's records to no AI model and trains none.

We use your data only to run the service and to do what these terms and the data processing addendum allow. We don't sell it.

Export. A company admin can download the company's data as one NDJSON file. The export runs as that admin, so it holds what that admin can read. Private notes other people wrote stay out, and so do tokens and login secrets.

Deletion. One company admin can ask to delete the company, with no second approval. A 30-day wait follows, and any company admin can cancel during the wait. After the wait, a scheduled job deletes the logins and every row of that company, audit log included. We keep one record: the company ID, a hash of its name, and two dates. We can't yet say how long deleted data stays in a backup.

See the privacy notice for what each outside service receives.

Our staff can enter your company only with your consent. A new company has no consent on file. A company admin gives or withdraws consent on the Vendor access page, and withdrawing ends every visit at once.

Each visit goes on your company's own record, and your company admins read it. A visit is not read-only: our staff in a visit can make changes. They can also open a private note, and each note they open goes on that record. See the security page for what a line of that record shows and leaves out.

A signed contract can set your company to block visits or to require your approval for each visit.

Acceptable use

You agree not to do any of these things.

  • Break the law through the service, or load data you have no right to load.
  • Load controlled data, such as ITAR, CUI or health records. We have not assessed the app for that data.
  • Try to read or change another company's data.
  • Test the service's security in a way that could harm other customers, without asking us first. To report a problem, write to support@runhoshin.com.
  • Resell the service.

If you break these rules, we may suspend your access. We tell your company's admins why. You can still ask for an export unless the law stops us.

Liability

  • We provide the service as it is, with no warranty beyond what these terms state.
  • Neither of us is liable to the other for indirect or consequential loss, as far as the law allows.
  • Our total liability to you is limited to what you paid us in the 12 months before the claim. During a free trial, that amount is zero.

Changes to these terms

If we change the final terms in a way that affects you, we email your company's admins at least 30 days before the change starts.
